Welcome to Convert.AI, operated by Convertist, LLC d/b/a Convert.AI (“Convert.AI,” the “Website”, “we,” or “our”). By using the Convert.AI Website (the “Website” or the “Site”) and its associated software-as-a-service applications (the “Service”), you agree to be bound by these Terms of Use (this “Agreement”), whether or not you register as a member of Convert.AI (“Member”).
If you wish to become a Member and/or make use of the Convert.AI Service, please read this Agreement. If you object to anything in this Agreement or the Convert.AI Privacy Policy, do not use the Website or the Service. This Agreement is subject to change by Convert.AI at any time, effective upon posting on the Convert.AI website. Your continued use of the Website and the Service following Convert.AI’s posting of revised terms of any section of the Agreement will constitute your express and binding acceptance of and consent to the revised Agreement.
PLEASE READ THIS AGREEMENT CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS, INCLUDING VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.
Electronic Agreement. This Agreement is an electronic contract that sets out the legally binding terms of your use of the Website and the Service. This Agreement may be modified by Convert.AI from time to time, such modifications to be effective upon posting by Convert.AI on the Website. By accessing and/or using the Website or becoming a Member, you accept this Agreement and agree to the terms, conditions and notices contained or referenced herein.
In order to access and retain this electronic Agreement, you must have access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must use all equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device. Please print a copy of this document for your records. To retain an electronic copy of this Agreement, you may save it into any word processing program.
You must be at least eighteen (18) years of age. By using the Website, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.
If you are using the Service and/or accessing the Websites on behalf of a company, entity, or organization (collectively, a “Subscribing Entity”), you represent and warrant that:
a. You are an authorized representative of the Subscribing Entity, and that you have the authority to bind the Subscribing Entity to this Terms of Use;
b. You have read and understand this Terms of Use; and
c. You agree to this Terms of Use on behalf of the Subscribing Entity.
Illegal and/or unauthorized uses of the Website include, but are not limited to, collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email, unauthorized framing of or linking to the Website, sharing or disclosing your username or password to any third party or permitting any third party to access your account, attempting to impersonate another user or person (except where explicitly authorized and conducted by Convert.AI as part of the Agency Services described in Section 7.1), use of the Website in any fraudulent or misleading manner, any automated use of the system, such as scraping the Website, automated scripts, spiders, robots, crawlers, data mining tools or the like, interfering with, disrupting, or creating an undue burden on the Website or the networks or services connected to the Website, and using the Website in a manner inconsistent with any and all applicable laws and regulations. Illegal and/or unauthorized use of the Website may be investigated, and appropriate legal action may be taken, including without limitation, civil, criminal, and injunctive redress. Use of the Website and Service is with the permission of Convert.AI, which may be revoked at any time, for any reason, in Convert.AI’s sole discretion.
You are responsible for maintaining the confidentiality of the username and password that you designate during the registration process, and you are fully responsible for all activities that occur under your username and password. You agree to (a) immediately notify Convert.AI of any unauthorized use of your username or password or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Convert.AI will not be liable for any loss or damage arising from your failure to comply with this provision.
5. Your Use of the Website
a. You must not copy or capture, or attempt to copy or capture, any Content from the Website or any part of the Website, unless given express permission by Convert.AI.
b. You must not copy, republish, adapt, make available or otherwise communicate to the public, display, perform, transfer, share, distribute or otherwise use or exploit any Content on or from the Platform, except (i) where such Content is Your Content, or (ii) as permitted under these Terms of Use.
c. You must not use any Content (other than Your Content) in any way that is designed to create a separate content service or that replicates any part of the Website offering.
d. You must not employ scraping or similar techniques to aggregate, repurpose, republish or otherwise make use of any Content.
e. You must not alter or remove, or attempt to alter or remove, any trademark, copyright or other proprietary or legal notices contained in, or appearing on, the Website or any Content appearing on the Website (other than Your Content).
f. You must not use the Website to upload, post, store, transmit, display, copy, distribute, promote, make available or otherwise communicate to the public any Content that is offensive, abusive, libelous, defamatory, obscene, racist, sexually explicit, ethnically or culturally offensive, indecent, that promotes violence, terrorism, or illegal acts, incites hatred on grounds of race, gender, religion or sexual orientation, or is otherwise objectionable in Convert.AI‘s sole and reasonable discretion.
g. You must not violate, circumvent or attempt to violate or circumvent any data security measures employed by Convert.AI; access or attempt to access data or materials which are not intended for your use; log into, or attempt to log into, a server or account which you are not authorized to access; attempt to scan or test the vulnerability of Convert.AI’s servers, system or network or attempt to breach Convert.AI’s data security or authentication procedures.
This Agreement will remain in full force and effect while you use the Website and/or Service. You may terminate your membership and/or subscription at any time via a link on your “Account” page or by contacting us at [email protected]. Convert.AI may terminate your membership and/or subscription for any reason by sending notice to you at the email address you provide in your application for membership. Even after your membership or subscription is terminated, this Agreement will remain in effect.
Convert.AI offers both managed agency services and software-as-a-service (SaaS) products. The following terms apply based on your usage:
7.1 Agency Services (Managed Outbound & Lead Gen)
If you engage Convert.AI for managed agency services (“Agency Services”), the following terms apply:
a. Authorization to Act as Agent: You hereby appoint Convert.AI as your authorized agent to contact prospective customers (“Prospects”) on your behalf. You grant us the authority to use your name, company branding, and employee identities (as designated by you) to generate and send communications (email, LinkedIn, etc.) for the purpose of lead generation.
b. Client Responsibilities: You represent and warrant that you have the legal right to contact any Prospects you provide to us. You agree to provide us with accurate exclusion lists (e.g., “Do Not Contact” lists). You are solely responsible for the content of the messaging strategies you approve.
c. Compliance: You acknowledge that you are the “Sender” for purposes of CAN-SPAM, CASL, and GDPR. Convert.AI acts solely as a service provider executing your instructions.
7.2 SaaS Application (Transcription & AI)
If you access the Convert.AI web application (“SaaS Service”), the following terms apply:
a. License: Convert.AI grants you a limited, non-exclusive, revocable license to use the software for your internal business purposes.
b. Recording Compliance & Biometric Data: You acknowledge the SaaS Service allows you to record, transcribe, and analyze conversations. You are solely responsible for obtaining all necessary consents from participants in compliance with applicable laws (e.g., two-party consent laws, GDPR, and Biometric Information Privacy Acts). You represent and warrant that you have provided notice to and obtained consent from all individuals whose voice or image is recorded, processed, or analyzed by the Service. Convert.AI prohibits the use of the Service to record individuals without their knowledge where required by law.
c. AI & Output: The Service uses Artificial Intelligence to generate content (including but not limited to transcripts, summaries, blog posts, and social media content). You acknowledge that AI technologies are experimental and may produce inaccurate, incomplete, or offensive results (“Hallucinations”). You are solely responsible for verifying the accuracy of all AI-generated content before sharing, publishing, or relying on it. Convert.AI disclaims all liability for errors or omissions in AI-generated output.
d. Third-Party Integrations: The Service integrates with third-party platforms (e.g., Zoom, Google Meet, Slack). You agree to comply with the Terms of Service of those platforms. Convert.AI is not responsible for any changes to, or unavailability of, these third-party services.
8. Modifications to Service
Convert.AI reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Convert.AI shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
In order to protect the integrity of the Services, Convert.AI reserves the right at any time in its sole discretion to block Members from certain IP addresses from accessing the Website.
a. General. Convert.AI bills you through an online account (your “Billing Account”) for use of the Service. You agree to pay Convert.AI all charges at the prices then in effect for any use of the Service.
b. Recurring Billing. Our subscription plans consist of an initial period followed by recurring period charges. Convert.AI may submit periodic charges (e.g. monthly) without further authorization from you, until you provide prior notice that you have terminated this authorization. To cancel, change or resign your subscription at any time, simply email us at [email protected].
c. Current Information. You must provide current, complete and accurate information for your billing account. You must promptly update all information to keep your billing account current (such as a change in billing address, credit card number, or credit card expiration date).
a. Convert.AI IP: Convert.AI retains all proprietary rights in the Website, the Service, the underlying software code, and the proprietary methods/processes used to deliver Agency Services. The Website contains the copyrighted material, trademarks, and other proprietary information of Convert.AI.
b. Agency Deliverables: Upon full payment of applicable fees, you (the Client) own the specific leads generated and the specific list of prospective customers identified for you during the Agency engagement.
c. SaaS Customer Data: You (the Client) retain all ownership rights to the data you upload to the SaaS Service, including audio recordings, meeting transcripts, and the specific marketing content generated from your transcripts (“Customer Data”). You hereby grant Convert.AI a worldwide, non-exclusive, royalty-free license to access, store, process, and display your Customer Data solely as necessary to provide, maintain, and improve the Service. We do not claim ownership of your meeting transcripts or the confidential content generated from them.
Convert.AI retains your Customer Data (including transcripts and recordings) for as long as your account is active and for a reasonable period thereafter for backup, archival, audit, or legitimate business purposes. You may request the deletion of your specific data or your entire account at any time by emailing [email protected]. Upon receiving a deletion request, we will remove your data from our active production systems within a reasonable timeframe. However, you acknowledge and agree that residual copies of your data may remain in our backup, archival, or disaster recovery systems for an indefinite period due to the automated nature of these systems. Convert.AI shall have no obligation to search for or delete such residual copies except as strictly required by applicable law.
All Convert.AI Content (excluding your Customer Data) is copyrighted. You may not modify, publish, transmit, distribute, perform, participate in the transfer or sale, create derivative works of, or in any way exploit, any of the Convert.AI Content, in whole or in part.
Convert.AI will suspend or terminate your access to the Website if Convert.AI determines, in its sole and reasonable discretion, that you have repeatedly breached these Terms of Use.
In no event shall Convert.AI be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the Website or Service, or use thereof.
Specific to Agency Services: You agree that sales is an inherently uncertain process. While we will make reasonable efforts to produce results, we offer no guarantees regarding the number of sales or leads we will obtain, any dollar amount you can expect to receive, or how long it will take to obtain results. By signing up, you agree that you are assuming the risk inherent in the sales process.
Specific to Third-Party Platform Risks (Agency & SaaS): You acknowledge that your use of the Services may involve automation, account sharing, or outreach activities that could violate the Terms of Service of third-party platforms (including but not limited to LinkedIn, Google/Gmail, and various social media sites). You expressly acknowledge and assume the risk that such activities may result in your accounts being restricted, suspended, shadow-banned, or permanently terminated by these third-party platforms. Convert.AI employs commercially reasonable efforts to minimize these risks but cannot guarantee immunity from platform penalties. Convert.AI shall not be liable for any loss of account access, loss of data, loss of reputation, or business interruption resulting from third-party platform restrictions.
Specific to AI Output: Convert.AI makes no warranties regarding the accuracy, uniqueness, or originality of AI-generated transcripts or content. Convert.AI does not warrant that AI-generated content is free of third-party copyright claims. You acknowledge that use of the Service is at your sole risk.
Aggregate Liability Cap: In the event that any of the foregoing limitations are deemed to be unenforceable, to the greatest extent permitted by law, you agree that the entire aggregate liability of Convert.AI and sole remedy available to any Member in any case shall be limited to monetary damages that in the aggregate may not exceed the greater of $500.00 or the sum of any amount paid by the Member to Convert.AI during the six months prior to notice of the dispute.
UNDER NO CIRCUMSTANCES SHALL CONVERT.AI BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT, INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES THAT DIRECTLY OR INDIRECTLY RESULT FROM USE OF, OR INABILITY TO USE, THE WEBSITE OR SERVICE, INCLUDING WITHOUT LIMITATION FOR VIRUSES ALLEGED TO HAVE BEEN OBTAINED FROM THE WEBSITE OR DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA BY THIRD PARTIES (INCLUDING UNAUTHORIZED CONTRACTORS OR PERSONNEL) DESPITE CONVERT.AI’S COMMERCIALLY REASONABLE SECURITY MEASURES.
You agree to indemnify and hold Convert.AI, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, arising out of or related to:
a. your use of the Service and/or Website in violation of this Agreement;
b. any claim that your “Customer Data” or your recording of third parties infringes the intellectual property, privacy, or biometric rights of a third party;
c. Agency Services: Any claim arising from Convert.AI’s authorized use of your name, branding, or identity in connection with the Agency Services, including but not limited to claims alleging violation of anti-spam laws (CAN-SPAM, CASL), trademark infringement, or misrepresentation, provided Convert.AI acted in accordance with your instructions or general parameters;
d. Platform Disputes: Any disputes or claims arising from the suspension, restriction, or termination of your third-party accounts (e.g., LinkedIn) resulting from your use of the Service.
In the event that Convert.AI is successful in whole or in part in any action or proceeding related to or arising from this Agreement, you shall be responsible for Convert.AI’s attorneys’ fees and costs.
CHILDREN UNDER THE AGE OF 18 ARE NOT PERMITTED TO USE THIS WEBSITE.
Use of the Website and/or the Service is also governed by our Privacy Policy, located at convert.ai/privacy-policy/.
If there is any dispute arising out of the Website and/or the Service, by using the Website and/or Service, you expressly agree that any such dispute shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions, and you expressly agree and consent to the exclusive jurisdiction and venue of the state and federal courts of the State of Delaware.
You agree that, except as otherwise expressly provided in this Agreement, there shall be no third party beneficiaries to this Agreement. This means that only you (the account holder) and Convert.AI have rights under this contract.
EXCEPT WHERE PROHIBITED BY LAW, YOU AGREE THAT ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, EXCLUSIVELY BY BINDING ARBITRATION UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION. THE ARBITRATION SHALL BE CONDUCTED IN ARIZONA, OR VIA REMOTE VIDEO CONFERENCE, AT CONVERT.AI’S OPTION.
If you access Convert.AI from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.
This Agreement contains the entire agreement between you and Convert.AI regarding the use of the Website and/or the Service.
If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement.
The section headings contained in this Agreement are for reference purposes only and shall not in any way affect the meaning or interpretation of this Agreement.
